Terms of Service

1. Services
Modern Refactor LLC provides software development, AI consulting, and related technology services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement.
2. Payment
Payment terms are specified in the applicable SOW or invoice. Unless otherwise agreed, invoices are due within 15 days of issuance. Late payments may be subject to a late fee as specified in the SOW.
3. Intellectual Property
Upon full payment, client owns all custom work product developed specifically for their project. Modern Refactor LLC retains rights to general methodologies, tools, and frameworks developed independently of the client engagement.
4. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the engagement.
5. Limitation of Liability
Modern Refactor LLC's liability is limited to the fees paid in the three months preceding any claim. We are not liable for indirect, incidental, or consequential damages.
6. Governing Law
These terms are governed by the laws of the United States. Disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
